Terms of Service (app version)

Welcome to PalletPro. These Terms of Service (“Terms”) govern your use of the PalletPro mobile application (“App”) operated by PalletPro (“we,” “our,” or “us”). By creating an account or using the App, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the App, you confirm that you are at least 13 years of age and agree to comply with these Terms. If you do not agree, you must not use the App. We may update these Terms from time to time, and continued use after changes constitutes acceptance.

2. Account Registration

To use the App, you must create an account with a valid email address and password. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent purposes.

3. Description of Service

PalletPro is an inventory management application designed for resellers. The App provides tools for:

  • Tracking pallets, individual items, and inventory
  • Recording expenses and mileage for business operations
  • Calculating profit, ROI, and business analytics
  • Managing item photos and documentation
  • Generating reports and exporting data

The App is a management tool only. We do not provide accounting, tax, or legal advice. You are responsible for verifying the accuracy of all calculations and consulting qualified professionals for tax and legal matters.

4. Subscription Plans

The App offers multiple subscription tiers (Free, Starter, and Pro) with different feature limits. Key terms:

  • Subscriptions are billed through the Apple App Store or Google Play Store according to their respective terms
  • Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current billing period
  • You can manage or cancel your subscription through your device’s App Store or Play Store settings
  • Refunds are handled by Apple or Google per their respective refund policies
  • We reserve the right to change pricing with reasonable notice; existing subscriptions will be honored through their current billing period

Free Tier Limitations

The Free tier has limits on the number of pallets, items, photos per item, and other features. These limits may change over time. Data created within your tier limits remains accessible even if limits are reduced.

Cancellation and Auto-Renewal

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. To cancel:

  • iOS: Open Settings, tap your name, tap Subscriptions, select Pallet Pro, and tap Cancel Subscription
  • Android: Open Google Play Store, tap your profile icon, tap Payments and subscriptions, tap Subscriptions, select PalletPro, and tap Cancel

Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date. No partial refunds are issued for unused portions of a billing period.

Beta Founder Pricing

Eligible users who subscribe during the beta period receive a 50% discount on their chosen subscription plan (“Beta Founder Pricing”). This discount remains in effect for as long as the subscription remains continuously active.

  • If a Beta Founder subscription is canceled, expires, lapses, or is refunded for any reason, the Beta Founder discount is permanently and irrevocably revoked
  • You may resubscribe at the then-current standard price but will not be eligible to regain Beta Founder Pricing
  • Beta Founder Pricing is non-transferable
  • PalletPro reserves the right to modify or discontinue the Beta Founder program at any time; however, active Beta Founder subscriptions will continue to receive the discount for as long as the subscription remains active and in good standing

5. User Content and Data

You retain ownership of all data and content you enter into the App, including inventory data, photos, and business records (“User Content”). By using the App, you grant us a limited license to store, process, and display your User Content solely for the purpose of providing the service.

You agree not to upload content that:

  • Violates any law or regulation
  • Infringes on the intellectual property rights of others
  • Contains malware, viruses, or harmful code
  • Is obscene, defamatory, or abusive

6. Acceptable Use

You agree not to:

  • Use the App for any unlawful purpose
  • Attempt to gain unauthorized access to other accounts or our systems
  • Reverse engineer, decompile, or disassemble the App
  • Use automated systems or bots to access the App
  • Interfere with or disrupt the App or its servers
  • Circumvent subscription tier limits or access controls

7. Intellectual Property

The App, including its design, code, graphics, and branding, is owned by PalletPro and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the App without our written permission.

8. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The App will be uninterrupted, error-free, or secure
  • Calculations or analytics will be accurate for tax or accounting purposes
  • Data will never be lost (you should maintain your own backups)

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PALLET PRO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE APP.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless PalletPro from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the App, your violation of these Terms, or your violation of any third-party rights.

11. Account Termination

You may delete your account at any time through the App settings. Upon deletion, your data will be permanently removed within 30 days. We may suspend or terminate your account if you violate these Terms, with or without notice.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

Any disputes arising from these Terms or the App shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may bring claims in small claims court if the claim qualifies. You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

Nothing in this section prevents you from bringing issues to the attention of federal, state, or local agencies, who may seek relief on your behalf if the law allows.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PalletPro regarding your use of the App and supersede all prior agreements and understandings.
